We offer various engagement models to cater to your specific needs and budget. 3. Fees and Payment:
Our fees are based on the chosen engagement model, the scope of services, and your company's size and industry. We will provide you with a clear and detailed fee proposal before engagement begins. We accept payment via ACH & Check and require monthly prepayment for engagements.
4. Term and Termination:
The term of your engagement will be as specified in your agreement with us. Either party may terminate the agreement with 90 days written notice. We reserve the right to terminate the agreement immediately if you breach any of these Terms.
5. Confidentiality:
We will maintain the confidentiality of all information you provide us with, except as required by law or as otherwise authorized by you. We will also ensure that any subcontractors we engage with are bound by confidentiality obligations.
6. Intellectual Property:
All intellectual property rights arising from the services, including marketing strategies, plans, and materials, belong to us. However, we may grant you a non-exclusive license to use these materials for your own internal business purposes.
7. Disclaimers and Warranties:
Our services are provided "as is" and without any warranties, express or implied. We do not warrant that our services will meet your specific needs or that they will be error-free or uninterrupted.
8. Limitation of Liability:
To the maximum extent permitted by law, we will not be liable for any damages arising out of or in connection with your use of our services, even if we have been advised of the possibility of such damages.
9. Governing Law and Dispute Resolution:
These Terms will be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws provisions. Any dispute arising out of or relating to these Terms will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
10. Entire Agreement:
These Terms constitute the entire agreement between you and us with respect to your use of our services. These Terms supersede all prior or contemporaneous communications and proposals, whether oral or written.
11. Amendments:
We may amend these Terms at any time by posting the amended Terms on our website. Your continued use of our services after the posting of amended Terms constitutes your acceptance of those amendments.
